LLP Registration Requirement: Step by Step

If you’re planning to start a Limited Liability Partnership (LLP), you’ll need to go through the LLP registration requirement. This can seem daunting, but with the right information, it can be a straightforward process. Here’s a checklist of all the requirements you’ll need to meet to register your LLP with ease.

Choose a unique name for your LLP.

The first step in registering your LLP is choosing a unique name for your business. The name should not be similar to any existing LLP registered or it should not be reserved by roc or company name. You can also check the availability of your desired unique name on the Ministry of Corporate Affairs (MCA) website. Once you have chosen a name, you will need to get it approved by the Registrar of Companies (ROC). It’s important to note that the name should not contain any offensive or illegal words.

RUN (Reserve unique name) Form for LLP Registration to be filled for name reservation. Government fees for RUN Form for LLP is Rs. 200/-. One Run form is approved it’s valid for 90 days from the date of application approved. 

Before filing RUN form, the scope of business should be checked before submission of RUN form.

Obtain a Digital Signature Certificate (DSC) for all designated partners.

One of the requirements for LLP registration is obtaining a Digital Signature Certificate (DSC) for all designated partners. A DSC is an electronic form of signature that is used to sign documents digitally. It ensures the authenticity of the document and prevents any tampering or forgery. The DSC should be valid and not expired at the time of LLP registration. Make sure to keep the DSC safe and secure as it will be required for various legal and financial transactions in the future.

Documents Required for DSC Is. Aadhar card, Pan card Copy, Passport size Photo, Email and Mobile number of applicants.

Documents required for Filip Incorporation form for LLP Registration.

Filing Filip form plays a very important role to register an LLP In India. Filip form contains details and documents of all designated partner and partner in LLP firm. Once the company is registered along with these details and documents a separate form has to filled for every amendment in LLP firm. Below are few lists of required details and documents required for Filing form.

  1. Aadhaar card and pan card of all partners
  2. Passport size photo
  3. Contact details or All partners 
  4. Id address Proof of all partners
  5. Utility bill copy of all partners
  6. Education and qualification of all partners
  7. Place of birth
  8. Total capital contribution in LLP firm
  9. Profit sharing ratio of among partners
  10. Electricity bill coy of registered office
  11. Separate Email id and Mobile Number for LLP

 

Usually, Filip form get approved within 3 to 4 days from the date of application. Once form get approved and incorporation certificate of LLP is issued mentioning Pan number and Tan number on certificate.

Draft and file the LLP agreement with the Registrar of Companies (ROC).

The LLP agreement is a crucial document that outlines the rights and responsibilities of all partners in the LLP. It should include details such as the name and address of the LLP, the nature of the business, the capital contribution of each partner, profit sharing ratio, and the duration of the LLP. Once the agreement is drafted, it must be filed with the Registrar of Companies (ROC) within 30 days of LLP registration.

Filings Form 3 for LLP 

The goal of providing the LLP Form No.3 is to provide data for the Limited Liability Partnership Agreement in the event of a newly formed LLP and to provide details for LLP agreement revisions in the case of an existing LLP.

The identical form must be submitted within 30 days of the establishment of the Limited Liability Partnership or within 30 days after issuing the decision for the LLP agreement revision. An LLP agreement must be signed before submitting Form 3. The LLP Agreement would be notarized and printed on stamp paper of the specified value.
